Commissioning a photographer is a collaboration. Even though only one person can take the picture many more people are involved in making it happen. Nick Guttridge has over 20 years of experience making sure each commission is successful. He has been widely published and knows how to pivot his approach for each project.

If you are an architect or interior designer, you may wish to send a plan, mark it up with possible views and send through some of your iphone images before the shoot. A discussion about light is normally had, as this is so important to define the mood of the images. Details such as styling or not styling are considered, whether the shoot will be minimal or dressed.

It’s through this process that Nick strives to establish long term collaborations with his clients. Building an instinctive mutual understanding of practice. Sharing his experience and enthusiasm to achieve a full story of a project. Normally it gets easier to understand each other and continue working together with ease. Nick does try to make the shoot as enjoyable as possible for his clients sharing the images on a screen as he progresses.

Since 2014 Nick has worked with the dance community in London, working with Rambert and Ballet Black to produce images for advertising campaigns. This is a different process to architectural and interiors photography, Nick uses video with the dancer to discuss which elements of their movement should be investigated with flash.

When working for corporate companies taking images for annual reports and web-sites, Nick is normally working with an art director who may employ a production company to help with location scouting, hire, make-up and wardrobe. Also the logistics. Depending upon the size of the production, Nick can manage some of this himself with his contacts. He knows so many locations particularly in London with views e.t.c.

It has to be remembered that CEO’s and board members are normally on a time constraint so Nick understands how important it is to be prepared on corporate shoots. Often completing the photography in a calm efficient manner without causing too much interruption for the client.

Nick Guttridge’s studio is located at Cheadle Court, St John’s Wood, London, NW8 8UD.

His Cambridge address is 25 Raeburn House, Lapwing Avenue, CB2 9AN.

3) COPYRIGHT AND OWNERSHIP OF MATERIALS.

The entire copyright in the Imagery including ownership of all materials is retained by the Photographer at all times throughout the world. Fees are based on a Usage Licence specified on the Estimate. In the absence of such a licence having been specified in writing, there is no usage granted whatsoever. Changes to the Usage Licence required must be negotiated with the photographer. For the period specified the Usage Licence is granted exclusively, aside from Photographer’s self promotional purposes. Where Imagery is stored electronically, it must be erased at the conclusion of the agreed usage period. A digital file including Imagery in context of use must be supplied upon request by the Photographer.

4) USAGE.

The Usage Licence comes into effect from the date of full payment of the relevant invoice(s). The period of usage commences from date of first use(or 6 months after shoot date, whichever is sooner). No use may be made of the Imagery before payment in full of the relevant invoices(s) without the Photographer's express permission. Any permission, which may be given for prior use, will automatically be revoked if full payment is not made by the due date or if the Client is put into receivership or liquidation. Where use is restricted in the Usage Licence, permission to use the Imagery for other purposes will normally be granted upon full payment of a further fee, to be agreed with the Photographer. If specified the Usage Licence only applies to the Product/Service of the Advertiser as stated on the Estimate and Invoice and it’s benefit shall not be assigned to any third party without the Agent’s permission. Note: An agreement must be reached with the Photographer in writing before the Imagery is used for other purposes. All further Licences in respect of the Photographs will be subject to these terms and conditions. Any estimates of usage fees to the Client are valid for a period of six months only from the estimate date for photographers Fees and also subject to third party terms which may vary- e.g. models. We reserve the right to renegotiate these fees after this period has expired. Any unauthorized use of the Imagery by the Client, beyond the usage constraints agreed with us, will be subject to further usage fees. The Photographer retains the right in all cases to use the Imagery at any time (unless an embargo is agreed with Client at time of confirming the job) for the purposes of promoting his/her work, this includes but is not limited to the photographers printed portfolios, all online usage (including websites, blogs, social media by photographer) awards and printed editorial in magazines and books. After the exclusivity period indicated in the Usage Licence the Photographer shall be entitled to use and licence others to use the Photographs for any purposes. Fees negotiated for any further uses licenced will not be conditional on the exercise of the further rights granted and will be payable when invoiced. Any usage extensions must be negotiated with the Photographer.

5) INDEMNITY.

The Photographer shall only be responsible for obtaining clearance in respect of third party copyright works, trademarks, designs or other intellectual property if this has been expressly agreed in writing before the shoot. In all other cases the Client shall be responsible for obtaining such clearances and will indemnify the Photographer against all expenses, damages, claims and legal costs arising out of any failure to obtain such clearances. By scheduling a shoot with the photographer, the Client and property owner agree to property photography release without signature. Client or representative of Client should be present at the shoot to give access to property and discuss shots needed and other considerations and requests. If the Client cannot be present, then a written brief to specify exact shots desired must be delivered no later than 24 hours prior to the shoot. We reserve the right to charge the 'statutory interest' which is 8% plus the Bank of England base rate per month (or part thereof) on amounts overdue. Should there be more than a 2 month delay until first shoot date from any initial preparation or preproduction, unless otherwise agreed, fees and expenses for such preproduction will be invoiced and payable. Should Client request receipts and invoices from shoot expenses a fee may be charged by third parties and/or Photographer in accordance with time spent meeting this request.

7) ESTIMATES.

The normal agreed daily rate includes raw conversion with colour correction and basic retouching (removal of small items like light switches). If the Client requests additional post processing work the Client will be charged at the rate quoted and agreed. In most situations no additional retouching is required. The photographer will provide quotations for further retouching and may collaborate with a retoucher to meet client expectations when extra retouching is required.

13) EXCLUSIVITY

Should the Client wish to use the Photographs to the exclusion of all other parties for a set period then a separate fee shall be negotiated in writing. The Photographer retains the right in all cases to use the Photographs in any manner at any time regardless of any exclusive period agreed and in any part of the world for the purposes of promoting his / her work. Upon expiry of the exclusivity period the Photographer shall be entitled to issue licences to third parties.

14) RIGHT TO CREDIT.

The photographer must be credited in all editorial uses and in other cases if stated on the estimate. If published or used on social media, a photography credit must be given to Nick Guttridge within the comments section and also tagged on the image ‘@nickguttridge’.

15) LIABILITY.

Photographer’s liability in any case is limited to professional fees, which have been agreed. Photographer or Agent shall not be liable to Client for any loss of profit, loss of contracts, loss of business or revenues, loss of production or for any indirect, special or consequential loss, damage, costs, expenses or other claims that arise out of or in connection with the Shoot.

16) THIRD PARTIES & LICENCING IMAGES

16.1 MODELS AND SUPPLIERS

Bookings of all third party suppliers are subject to such terms and conditions as these parties may impose. Model fees estimated cover modelling time and usage as stated on Estimate. The Photographer takes no liability for model fees incurred due to additional usage of images above and beyond the usage stated on final Invoice. It is the Clients responsibility to contact models/model agents directly unless otherwise agreed.

16.2 INCLUDING THIRD PARTIES

In some instances it is possible to share the costs of the shoot with third parties and include them in the commission for an extra fee (at a discounted rate). This is at the discretion of the photographer. Including third parties in the commission has to be confirmed before the commission takes place. The photographer reserves the right to not allow shared commissions, for example when third party usage requirements exceed those of the commissioning client.

16.3 LICENCING IMAGES AFTER THE COMMISSION

The reproduction by whatever means of the whole or part of any Image (including, without limitation, slide projection, artist's reference, artist's illustration, layout or presentation of Images) is strictly forbidden without our specific written permission.  You must inform the photographer of your proposals as to when and how an Image is intended to be used.  The photographer will then consider whether he would wish to grant a licence and, if so, on what terms.

Unless a third party has been included in the commission (at a discounted rate), all third party contractors, partners and suppliers are required to arrange their own licence per image after the shoot. Permission is always sought from the commissioning client to avoid conflicts of interest. The licence fee per image depends upon the usage requirements.

The minimum fee per image is £ 400.00 ex vat limited to professional consultants involved within the construction industry (engineers, planning consultants e.t.c.). This licence is normally provided in perpetuity.

Companies (such as product manufacturers or companies in the corporate sector) who have more complicated usage requirements and larger audiences will be required to pay fees according to usage, duration and territory. For example if they need to share the image with distributors in different countries and use the image without credit. Please enquire with the photographer according to usage requirements. Licence fees are linked to usage, each company may have unique requirements with different media usages.

17) CONFIDENTIALITY. It shall be the sole responsibility of the Client to arrange for the Photographer or any third party involved to enter into any confidentiality agreement. The Photographer cannot be held liable for any breach of confidentiality by any third party.

18) APPLICABLE LAW. This agreement shall be governed by the laws of England & Wales and are subject to the exclusive jurisdiction of the English Courts, to whom all parties submit.

19) VARIATION. These Terms and Conditions shall not be varied except by agreement in writing
